Lease Terms & Conditions

1. Definitions

• "Initial Term" means the first six (6) months of the lease.
• "Lease Start Date" means the date the first lease payment is charged or the date the Device ships (whichever occurs first), unless otherwise stated in writing by BioReg.
• "Normal Wear and Tear" means ordinary cosmetic wear that does not affect Device function and is not caused by misuse, neglect, improper storage, improper cleaning, impact, liquid intrusion, or unauthorized modification.

2. Lease Term; Renewal

Your lease begins on the Lease Start Date and includes an initial minimum term of six (6) months (the "Initial Term"). After the Initial Term, the lease automatically renews month-to-month until cancelled in accordance with Section 3.

3. Cancellation (After the Initial Term)

After the Initial Term ends, you may cancel the month-to-month lease by providing written notice at least thirty (30) days prior to your next billing date. Cancellation is effective at the end of the current billing cycle. You remain responsible for all amounts due through the effective cancellation date.

4. Early Termination (During the Initial Term)

If you terminate the lease before completing the Initial Term, you agree to pay:

• (a) an early termination fee equal to two (2) monthly lease payments, plus
• (b) any past-due amounts, taxes, shipping, and any applicable charges for loss, non-return, or damage beyond normal wear and tear.

Early termination does not waive amounts already due.

5. Fees; Setup & Training

A $100 device setup and training fee is due at lease origination. This fee covers standard onboarding and setup support and is non-refundable once service is scheduled or delivered.

6. Shipping; Taxes

Shipping charges apply and will be shown at checkout. Applicable taxes will be calculated and displayed at checkout where required.

7. Security Deposit (Multi-Device Leases)

For leases involving multiple devices, BioReg may require a refundable security deposit, determined on a case-by-case basis and disclosed prior to or at checkout. Deposit refunds (if any) are subject to Sections 10 and 11.

8. Payment Authorization; Billing; Past Due Amounts

By leasing a Device, you authorize BioReg to charge your selected payment method for recurring lease payments, the setup/training fee, shipping and applicable taxes, and any approved charges under these Lease Terms.

If any payment is more than ten (10) days past due, BioReg may, at its discretion:

• suspend support and/or access to updates, and/or
• require immediate return of the Device(s) in accordance with Section 9,

in addition to any other remedies available under these Lease Terms or applicable law.

9. Device Return Requirements (Cancellation or Non-Payment)

Return Required. You must return the Device(s) upon: (a) cancellation of the lease, or (b) BioReg's demand following delinquency or other material breach.

RMA Required. You must obtain a Return Merchandise Authorization (RMA) from BioReg before returning any Device. Returns without an RMA may be refused or delayed.

Return Timeline. The Device(s) must be received by BioReg within ten (10) business days after the effective cancellation date or BioReg's return demand (as applicable).

Return Shipping; Risk of Loss. You are responsible for all return shipping costs and must package the Device(s) to prevent damage in transit. Risk of loss remains with you until BioReg confirms receipt.

Required Condition. Returned Device(s) must be fully functional, in good condition, free from direct signs of abuse, and without damage to core components (including, without limitation, housing, connectors, power components, internal hardware, or other essential device elements).

Inspection Window. BioReg will inspect returned Device(s) within five (5) to ten (10) business days of receipt to confirm condition, completeness, and functionality.

Missing or Damaged Components. You will be charged for missing components/accessories and damage beyond normal wear and tear, including damage indicating abuse or misuse, at BioReg's then-current replacement or repair rates. A fee schedule is available upon request.

10. Loss, Theft, Damage; Unauthorized Modifications

You are responsible for the Device(s) during the lease term, including for loss, theft, or damage beyond normal wear and tear. You agree not to disassemble, modify, or permit unauthorized repair of the Device(s). Unauthorized modification, repair, or tampering may result in additional charges and may require immediate return of the Device(s).

11. Deposit Application; Refund Conditions

If a security deposit is collected, BioReg may apply all or a portion of the deposit to any past-due amounts, early termination fees, and charges for missing or damaged components or other amounts owed.

Any remaining deposit balance, if applicable, will be refunded after:

• the Device(s) are returned in the required condition,
• BioReg completes its inspection, and
• all outstanding amounts and assessed charges are satisfied.

12. Lease-to-Purchase Credit (First 12 Months Only)

If you elect to purchase the Device(s), fifty percent (50%) of lease payments made during the first twelve (12) months from the Lease Start Date may be applied as a credit toward the device purchase price (the "Purchase Credit"), subject to the conditions below:

Purchase Credit Conditions

• Your account must be current (no past-due balances) at the time of purchase.
• Purchase Credit applies only to the device purchase price and excludes taxes, shipping, setup/training fees, accessories, service plans, and other charges.
• Purchase must be completed within the first twelve (12) months from the Lease Start Date.
• Purchase Credit is non-transferable and not redeemable for cash.

13. System Requirements

A computer with Windows OS, or a Mac running a supported Windows virtual environment, is required for initial setup and for downloading program updates. You are responsible for maintaining a compatible environment. BioReg is not responsible for issues caused by third-party virtualization software, operating system updates, or hardware configurations.

14. No Guarantee of Outcomes; Professional Responsibility

BioReg provides devices and support resources. BioReg does not provide medical advice and does not guarantee clinical outcomes. Practitioner is responsible for appropriate use, protocols, and patient consent consistent with applicable laws and professional standards.

15. Limitation of Liability

To the maximum extent permitted by law, BioReg will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the lease or use of the Device(s), even if advised of the possibility of such damages. BioReg's total liability for any claim arising out of or relating to the lease or Device(s) will not exceed the amounts paid by you to BioReg for the lease payments in the three (3) months immediately preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify and hold BioReg harmless from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use, misuse, or improper handling of the Device(s), your failure to comply with these Lease Terms, or your violation of applicable laws or third-party rights.

17. Governing Law; Venue

These Lease Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising out of or relating to these Lease Terms will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to personal jurisdiction and venue in those courts.

18. Changes to Lease Terms

BioReg may update these Lease Terms from time to time. Updates will be posted on our website and apply prospectively. Material changes will be communicated where required by law.
